Terms & Conditions

The following terms and conditions (the “Terms”) govern all use of the TradingFeed (“TradingFeed”, “we”, “us” or “our”) websites (the “Sites”) and mobile applications (the “Apps”), and any related products and services available at the Sites or Apps. In addition to these Terms, the provision of investment advisory services provided by TradingFeed shall also be regulated by a separate agreement.

TradingFeed offers its users the option to follow well-known market figures, insiders, CEOs of large companies, hedge funds, etc. By using our services (the “Service/s”), you will have access to compiled information about different investment portfolios. In addition to this main feature, you will also have access to a stock trading coach, in which users are able to buy/sell stocks with virtual money.

In these Terms, “you” or “your” means the person accepting these Terms and the company (if any) on whose behalf he/she is acting, and “we,” “us,” “our,” “TradingFeed,” or the “Company” means TradingFeed and its subsidiaries. The Terms describe your rights and responsibilities and form a legally binding agreement between us and you concerning your use of our services.

By entering into relations with us, you confirm:

• If entering into these Terms on behalf of a company, you have the authority to bind that company to the conditions of these Terms.
• You are at least eighteen (18) years old and have read, understood, and agreed to be bound by all of these terms and conditions. If you do not agree to all of these terms and conditions, you must not use or access the services. We reserve the right, in our sole discretion, to modify or replace any of the terms or conditions of these Terms at any time. Your continued use of the services we provide following the posting of any changes to these Terms constitutes your acceptance of those changes, and you are responsible for reviewing those terms. Some products or services that become available may be subject to additional or different terms and conditions, and if those additional terms and conditions conflict with these Terms, those additional terms and conditions will prevail.

YOU CONSENTS THAT YOU HAVE READ THESE TERMS CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, INTERESTS AND OBLIGATIONS. THEY INCLUDE DIFFERENT LIMITATIONS AND EXCLUSIONS, A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED, AND A WAIVER OF RIGHTS TO BRING CLASS ACTION CLAIMS AGAINST US. IF YOU DO NOT AGREE WITH ALL OF THE TERMS OF USE TERMS AND THE ABOVE ELIGIBILITY REQUIREMENTS, YOU CAN WITHDRAW FROM USING THE SERVICES.

1. Account Registration

   As a condition to using some parts of our services, you may be required to register an account with TradingFeed, choose a password and user name and provide other information about your identity, your address, your company or your investments, investment preferences, and risk tolerance (“Registration Data”). You agree to (a) provide accurate, current and complete Registration Data; (b) maintain the security of your password and user name details; © maintain and promptly update the Registration Data, and any other information you provide to the Company, to keep it accurate, current and complete; and (d) be fully responsible for all use of your account and for any actions that take place using your account.

   You agree and understand that you are responsible for maintaining the confidentiality of your Registration Data. By providing us with your e-mail address, you agree to receive all required notices electronically, or to your e-mail address or phone number. You are responsible for updating or changing that e-mail address or phone number, as appropriate. If you become aware of any unauthorized use of your Registration Data or other information related to your account, you shall notify us immediately.

   TradingFeed is not a broker or agent, nor does it have any affiliation with a broker, agent, or investment manager.TradingFeed is designed for self-directed use only. You are solely responsible for any orders and actions that are taken through the TradingFeed platform. You understand that all orders and actions are unsolicited and based solely on your own investment decisions. When executing orders through TradingFeed, you accept and understand that we are not responsible for any of the orders routing or execution. TradingFeed and any of its employees do not provide investment recommendations of any security, transaction, or order. We do not offer investment advice. We do not handle users’ funds or securities and have no involvement in the clearing or settling of a user’s trades.

   Term. The term of these Terms will commence on the date on which you first access or utilize the services in any way and will continue so long as you continue to access or utilize the service, unless earlier terminated by us.

2. Access to our services

   Subject to your compliance with these Terms, TradingFeed grants you a limited and non-exclusive rights to access and use our services and their content for your own use. This right does not include any collection, copying, selling, duplication, display or derivative use of our services. In order to collect, aggregate, copy, duplicate, display or make derivative use of the service, you must first obtain a written approval from us.

   Additional Features. You may subscribe to additional features of the Service by placing an additional order or activating the additional features from within your account (if this option is made available by us.). This Agreement will apply to all additional order(s) and all additional features that you activate from within your TradingFeed account.

3. Regulatory Compliance

   You agree to insure that any information related to the services, whether by you or on your behalf by a person authorized, complies with all statutes, rules, regulations, orders or other governmental acts of any jurisdiction, whether foreign or domestic, including without limitation, to any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ.

4. Feedback

   You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Service (“Feedback”), provided by you to TradingFeed are non-confidential and TradingFeed shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use of this Feedback for any purpose, commercial or otherwise, without acknowledgement or compensation to you.

5. Copyright and Intellectual Property

   We respect the intellectual property rights of others and we prohibit users from transmitting on the Service any materials that violate another party’s intellectual property rights.

   The Services and its original content, features and functionality are and will remain the exclusive property of TradingFeed and its licensors.

   The Services are protected by copyright, trademark, and other laws of local and foreign jurisdiction legislations.

   Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of TradingFeed.

   As between TradingFeed and you, TradingFeed owns, has licensed, or otherwise has rights, title and interest in and to the Service and all of the content that appears on the Sites and Apps. TradingFeed’s intellectual property rights include, but are not limited to, copyrights, trademark rights, trade dress rights, and trade secrets. You agree that you have no right, title or interest in or to the Service or any other TradingFeed content.

   All software (including source code), logos, icons, the service’s interface, text, graphics, images, video clips, sound clips, content, notices, data, page layout, and selection and arrangement of the content and all copyrights, patents, trade secrets, trademarks and other intellectual property rights therein shall be owned solely and exclusively by TradingFeed and/or its licensors and are protected by the international copyright, trade secret or other intellectual property laws and treaties. The compilation of all content and any software or other materials provided by TradingFeed on the Service, or in connection with the Service, are the exclusive property of TradingFeed and/or its licensors and are protected by United States and international copyright, trade secret or other intellectual property laws and treaties.

   You hereby consent that, if you choose to become a paying customer of TradingFeed, TradingFeed may identify you as a TradingFeed customer (using your name and logo) and generally describe the products or services it provides to you in its promotional materials, presentations and proposals to other current and prospective customers.

6. Third-Party Services, Other Websites and Content

   We may provide links or access to other websites, apps, products or services provided by third-party service providers (“Third-Party Services”) when you visit the App or Site or use the services.

   Third-Party Services are not reviewed, controlled, examined, sponsored, or endorsed by TradingFeed, and TradingFeed is not responsible for the information, advertising, products, resources or other material of any Third-Party Services or any link contained in Third-Party Services. Your use of any such Third-Party Services is at your own risk.

   TradingFeed makes no representations or warranties with respect to Third-Party Services and will not be liable for such Third-Party Services, even when used in conjunction with the Service. TradingFeed does not endorse or sponsor any products or services provided by third parties that are made available through the Service.

   In using any Third-Party Services made available via the serviceS, you must agree to comply with and be bound by the Terms of services, Privacy Policy, or other terms and conditions of the third-party service providers. We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.

   TradingFeed is not responsible for any trading, buy/sell orders or other activity that you conduct or that otherwise happen Our Service may contain links to third-party web sites or services that are not owned or controlled by the Company.

7. Advertising

   As part of the Services, we may include advertisements provided by TradingFeed and/or a third party, which may be targeted to the content or information on the Services, queries made through the Services, or other information. The types and extent of advertising on the Services are subject to change. In consideration of TradingFeed granting you access to and use of the Service, you agree that TradingFeed and its third-party providers and partners may place such advertising on the Sites and Apps or in connection with the display of content or information from the Service, whether submitted by you or others. Third-party advertisers and sponsors are responsible for ensuring that material submitted for inclusion in advertisements on the Service is accurate and complies with applicable laws. We are not responsible for the illegality or any error, inaccuracy or problem in the advertiser’s or sponsor’s materials.

8. Restrictions on Use of Services

   You agree not to use our services to:

   • in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Service;
   • falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity;
   • make publicly available any private information of any third party, including addresses, phone numbers, email addresses, Social Security numbers and credit card numbers;
   • make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
   • make available content that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or would otherwise create liability or violate any local, state, national or international law;
   • violate any applicable law or regulation while accessing and using the Service, including, without limitation, the rules and regulations of any national or other securities exchanges (especially and including the rule against making false or misleading statements to manipulate the price of any security);
   • Make available any information that you do not have a right to make available under any law or contractual or non-contractual relationships.
9. Securities Disclaimer

   TradingFeed is not a tax advisor, broker, financial advisor or investment advisor.

   Trading in securities can result in immediate and substantial losses of the capital invested. You should only invest risk capital and not capital required for other purposes. You alone are solely responsible for determining whether any investment, security or strategy, or any other product or service, is appropriate or suitable for you based on your investment objectives and personal and financial situation. You should also consult an attorney or tax professional regarding your specific legal or tax situation.

   TradingFeed, its affiliates and partners specifically disclaim any and all liability or loss arising out of any action taken in reliance on Content, including but not limited to market value or other loss on the sale or purchase of any company, property, product, service, security, instrument, or any other matter.

   You understand that an investment in any security is subject to a number of risks and that discussions of any security published on the service will not contain a description of relevant risk factors. Note that some of the stocks, people or products about which content is published on the Sites or Apps have a low market capitalization and/or insufficient public float. Such stocks are subject to more risk than stocks of larger companies, including greater volatility, lower liquidity and less publicly available information.

10. Brokerage Account

    TradingFeed does not collect any funds, execute any Transactions, or otherwise act as a broker, agent, dealer or cryptocurrency exchange, money transmitter, money services business, bank account, brokerage account, or other financial account. Although you may be able to find information about investment opportunities through the services on the Sites or Apps, we are not a party to any Transaction regarding any such opportunity. We strongly recommend that in connection with each Transaction, Members conduct their own due diligence. TradingFeed and its affiliates, employees, agents, principals, or representatives do not provide recommendations of any transaction or order, provide investment advice, endorse any investments, produce or provide research to any user regarding any investment, transaction or order, or execute any transactions.

11. Other Disclaimers

    The Services may be temporarily unavailable from time to time for maintenance or other reasons. TradingFeed assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to user content. TradingFeed is not responsible for any technical malfunction or other problems of any telephone network or service, computer systems, servers or providers, computer or mobile phone equipment, or software on account of technical problems or traffic congestion on the Internet or at any site or with respect to the Service or combination thereof, including injury or damage to User’s or to any other person’s computer, mobile phone, or other hardware or software, related to or resulting from using or downloading Content in connection and/or in connection with the Service. Under no circumstances will TradingFeed be responsible for any loss or damage, including any loss or damage to any user content or personal injury or death, resulting from anyone’s use of the Service or any posted on or through the Service or transmitted to or by users.

    The Service is provided to You “as is” and “as available” and with all faults and defects without warranty of any kind.

    TradingFeed, its affiliates, and partners shall not be liable for any damages or costs of any type arising out of or in any way connected with your use of the services of any brokerage company.

    For the avoidance of doubt, the company does not disclaim warranties for intentional breach of duty. The warranty disclaimer does not affect the limitation of liability as set out below.

    We reserve the right to change any and all content, software and other items used or contained in the Service at any time without notice. Reference to any products, services, processes or other information by trade name, trademark, manufacturer, and supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof, or any affiliation therewith, by us.

12. Limitation on Liability

    Notwithstanding any damages that You might incur, the entire liability of TradingFeed under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through for the services.

    To the maximum extent permitted by applicable law, in no event shall we be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if we or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

13. Suspension. Termination

    If we believe you are abusing our Services in any way, we may, in our sole discretion and without limiting other remedies, limit, suspend, or terminate your user account(s) and access to our Services, delay or remove content, remove any special status associated with your account(s), remove, not display, reduce or eliminate, take technical and/or legal steps to prevent you from using our Services.

    We may terminate your account, delete your profile and any user content that you have posted on the Service and/or prohibit you from using or accessing the Service for any reason, or no reason, at any time in its sole discretion, with or without notice, including if it believes that you are under 18.

14. Jurisdiction and Governing Law

    The laws of the Republic of Bulgaria shall govern these Terms and your use of the Services. Your use of the Sites and Apps may also be subject to other local, state, national, or international laws.

    If you have any concerns or disputes about the Service, you agree to first try to resolve the dispute informally by contacting TradingFeed. If no such agreement is reached, any disputes shall be resolved by the competent Bulgarian Court.

    If you are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which you are a resident.

    Informal Process First. You agree that in the event of any dispute between you and TradingFeed, you will first contact TradingFeed and make a good faith sustained effort to resolve the dispute before resorting to more formal means of resolution, including, without limitation, any court action.

15. Indemnity

    To the fullest extent permitted by law, you agree to indemnify and hold TradingFeed, its subsidiaries and affiliates, and each of their members, managers, directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney’s fees, arising out of or in connection with your use of the Service, your use of any Third-Party Services that are made available by the Service, your conduct in connection with the Service or with other users, or any violation of these Terms or of any law, rule, regulation or order, or the rights of any third party. This indemnity shall survive any termination or cessation of use by you of the Service. Without limiting the generality of the foregoing, you agree to indemnify and hold TradingFeed and its licensors harmless for any improper or illegal use of your account, including the illegal or improper use of your account by someone to whom you have given permission to use your account.

16. Possible Remedies

    You hereby agree that TradingFeed would be irreparably damaged if these Terms were not specifically enforced, and therefore you agree that we shall be entitled, without proof of damages, to appropriate equitable remedies with respect to breaches of these Terms, in addition to such other remedies available to it under applicable laws.

17. Apple App Use

    The following terms and conditions apply to you only if you are using the App from the Apple App Store. To the extent the other terms and conditions of the Terms are less restrictive than, or otherwise conflict with, the terms and conditions of this paragraph, the more restrictive or conflicting terms and conditions in this paragraph apply, but solely with respect to App from the Apple App Store. You acknowledge and agree that these Terms are solely between you and the Provider, not Apple, and that Apple has no responsibility for the App or content thereof. Your use of the App must comply with the App Store Terms of Use. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, for the App to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be solely governed by these Terms. You and Provider acknowledge that Apple is not responsible for addressing any claims of you or any third party relating to the App or your possession and/or use of the App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation. You and Provider acknowledge that, in the event of any third party claim that the App or your possession and use of that App infringes that third party’s intellectual property rights, Provider, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by these Terms of Use. You must comply with applicable third party terms of agreement when using the App. You and Provider acknowledge and agree that Apple, and Apple’s subsidiaries, are third party beneficiaries of these Terms as they relate to your license of the App, and that, upon your acceptance of the Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third party beneficiary thereof.

18. Google Play Store App Use

    If you acquire the App from Google, Inc. or one of its affiliates (“Google”) via Google Play or its successor(s), then to the extent of any conflict between the Google Terms of Service and the Google Play Business and Program Policies or such other terms which Google designates as default end user license terms for Google Play (all of which together are referred to as the “Google Play Terms), and the other terms and conditions in these Terms, the Google Play Terms shall apply with respect to your use of any App that you acquire from Google Play. Provider and you hereby acknowledge that Google does not have any responsibility or liability related to compliance or non-compliance by Provider or you (or any other user) under these Terms or the Google Play Terms.

19. Additional Terms

    These Terms constitute the entire agreement between you and TradingFeed regarding the use of the Services, superseding any prior agreements between you and TradingFeed relating to your use of the Services. The failure of TradingFeed to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision in that or any other instance. If any provision of these Terms is held invalid, the remainder of these Terms shall continue in full force and effect. If any provision of these Terms shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
